1. About these Terms
These Terms of Use (the “Terms”) are a binding agreement between you and YOSCH MEDIA LTD, a private limited company registered in United Kingdom under number 15495052, with its registered address at 71-75 Shelton Street Covent Garden London WC2H 9JQ UNITED KINGDOM (“YOSCH MEDIA”, “we”, “us”, “our”). They govern your use of https://yoschmedia.com/, our apps and all related services of YOSCH MEDIA.
1.1 Acceptance at sign-up. Before you can create an account, you must tick a box confirming that you have read and understood these Terms (including the Schedules), our Privacy Policy and our Cookie Policy, and that you agree to these Terms. You cannot create an account or continue to sign up without doing so. If you do not agree, you must not use the Platform. Using the Platform without an account (for example, browsing public pages) also means you accept these Terms to the extent they apply.
1.2 Documents that make up these Terms. These Terms include the following Schedules, which form part of them: Schedule 1 (Fees and payments), Schedule 2 (Refunds and cancellations), Schedule 3 (Community guidelines and enforcement), Schedule 4 (Copyright and intellectual property complaints), Schedule 5 (Affiliate Business terms, which apply only to Affiliate Businesses) and Schedule 6 (Ranking, complaints and mediation). Our Privacy Policy and Cookie Policy explain how we handle personal data and cookies. Any feature-specific rules shown on the Platform at the point of use (for example, Skill Challenge briefs or webinar listings) also apply. If they conflict, these Terms prevail unless the feature-specific rule says otherwise.
1.3 Countries of operation. The Platform is offered to users located in the United Kingdom, the United States of America, Canada, Australia, New Zealand, the United Arab Emirates, Singapore, Thailand, Japan and Switzerland (the “Supported Countries”). You must not use the Platform from any country subject to comprehensive sanctions, or if you are a sanctioned person. We may add or remove Supported Countries by updating these Terms.
1.4 Definitions.
- Client: a user who posts or funds a Project, or books a webinar or tutoring session.
- Talent: a user who offers services, submits project, or enters a Skill Challenge.
- Host: a Talent who offers a webinar or tutoring session.
- Project: any paid engagement between a Client and a Talent agreed through the Platform. A Project may be an Hourly Project, a Fixed-Fee Project or a Skill Challenge.
- Security Hold: the temporary holding of a Client’s payment by our payment service provider until the conditions for release are met (see Section 6).
- Premium Account: a paid subscription account.
- Affiliate Business: a business that publishes an affiliate offer in the Platform’s affiliate section.
1.5 Technical terminology. For technical reasons, system messages, URLs or the Platform’s source code may occasionally use terms that differ from those used in these Terms. Examples include “Escrow” instead of “Security Hold”, “Job” instead of “Project”, “Contest” instead of “Skill Challenge”, and “Milestone” instead of “Fixed-Fee Project”. Such terms serve solely for internal technical purposes. They do not create any contractual rights or obligations beyond those set out in these Terms. In particular, they do not create any escrow, trust or banking relationship.
1.6 Changes to these Terms. We may update these Terms. We will give at least 7 days’ notice of material changes by email or in-app notice. Continued use after the effective date means you accept the updated Terms. If you do not agree, you may close your account before the changes take effect.
2. Our role: an online marketplace only
2.1 Intermediary only. YOSCH MEDIA provides a software platform where Clients and Talents can find each other and manage freelance Projects, webinars, tutoring and affiliate listings. We are not a party to any agreement between users. Every contract for services is concluded directly and only between the Client and the Talent (or Host).
2.2 No warranty for user services. We do not provide, supervise or control the services offered by Talents and Hosts. We give no warranty or guarantee for the quality, legality, safety, timeliness or fitness for purpose of any work, deliverable, webinar or tutoring session. Any warranty, guarantee or consumer claim relating to a service must be made against the Talent or Host who provided it, not against us.
2.3 No checks of licences, qualifications or trustworthiness. We do not check whether a Talent or Host holds any licence, permit, professional registration, degree, certificate or qualification, and we do not vouch for any user’s identity beyond the payment verification described in Section 6.4, or for their character or trustworthiness. Profile information, ratings and reviews are provided by users. Each user is responsible for doing their own due diligence before entering into a Project, and for holding any licence or qualification their work legally requires.
2.4 No employment. The Platform supports freelance projects only. Nothing on the Platform creates an employment, worker, agency, partnership or joint-venture relationship between us and any user, or between a Client and a Talent. Talents and Hosts act as independent contractors, whether they are individuals (for example, self-employed persons or sole traders) or registered businesses. They decide how, when and where they work, use their own equipment, and may work for other clients.
2.5 Software utility. For the avoidance of doubt, YOSCH MEDIA acts as a software utility and payment-coordination tool, comparable to an e-commerce or payments software provider. We do not employ, hire, place or pay Talents.
3. Eligibility and minors
3.1 Adults only as account holders. You must be at least 18 years old (or the age of legal majority where you live, if higher) and able to enter into a binding contract to create or hold an account. Every account must be registered to, verified as, and controlled by one identified adult or one registered business. We do not accept users under 18. The Platform is not directed at, designed for or advertised to anyone under 18.
3.2 Under 13s. Children under 13 must not use the Platform in any way, including under supervision. We do not knowingly collect personal data from children under 13. If we learn that a child under 13 has used the Platform, we will close the relevant access and delete the child’s data.
3.3 Minors aged 13 to 17 under adult supervision. A minor aged 13 to 17 may not hold an account, be a contracting party, or receive payouts. A parent or legal guardian who holds a verified Premium Account may allow their child aged 13 to 17 to use that account to learn or take part in Projects, only under the adult’s active supervision. Where the adult does so:
- The adult agrees to be bound by these Terms and remains the sole account holder, contracting party, payee and taxpayer for all activity on the account. The profile must be in the adult’s name and show only the adult’s details. No profile, listing or account may be created in a minor’s name.
- The adult assumes full legal and financial responsibility for everything done through the account, including contract fulfilment, communications, quality of work, disputes, chargebacks and tax obligations arising from earnings.
- The adult confirms they are the minor’s parent or legal guardian and have authority to consent on the minor’s behalf.
- The adult is responsible for ensuring the minor’s activity complies with all laws that apply where they live, including child employment rules, permitted working hours, school-attendance rules and any permit requirements.
- The adult must not let the minor share passwords, contact details, photos or other personal information with other users, or join live webinar or tutoring video sessions without the adult present.
- The adult must not allow the minor to take part in Projects involving adult content, gambling, alcohol, tobacco, weapons, financial products, physical meetings or any other category we mark as not suitable for minors.
3.4 No minor-specific listings. Clients must not post Projects aimed at minors or request a minor’s personal details. Users must not knowingly contact a minor directly or try to move communication with a minor off the Platform.
3.5 Verification. To protect users, we may at any time ask any account holder to verify their identity, age or authority. We may do this by email, a phone or video call, a document check, or through our payment service provider’s verification process. If you do not complete verification within 14 days, or we reasonably believe an account is being used by a minor without the required supervision, or by a child under 13, we may restrict, suspend or close the account. We may also hold any pending payouts while we investigate.
3.6 Reporting. If you believe a minor is using the Platform in breach of this Section, please report it through our online contact form at https://yoschmedia.com/contact/.
4. Accounts, subscriptions and fees
4.1 Your account. You must provide accurate, complete and current information, keep your login details secure, and not share your account except as allowed in Section 3.3. You are responsible for all activity on your account. Tell us immediately through our online contact form at https://yoschmedia.com/contact/ if you suspect unauthorised use.
4.2 One person, one account. You must not create more than one account, impersonate anyone, or create an account for someone else, unless we agree in writing (for example, a business account with several team members).
4.3 Subscriptions. Certain features require a paid subscription (a Premium Account). Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. You can cancel at any time in “subscription”. Cancellation takes effect at the end of the current billing period.
4.4 Free trial. Where we offer a free trial, you can test the service and cancel free of charge at any time before the trial ends. If you do not cancel before the trial ends, your paid subscription starts automatically and your payment method will be charged. We may send you a reminder before the trial ends. It is your responsibility to cancel before the trial ends, whether or not you receive a reminder.
4.5 No refunds. Subscription fees and affiliate listing fees are non-refundable, including for partial periods and unused features. This does not affect any refund or cancellation right you have by law that cannot be excluded (for example, mandatory consumer rights in your country of residence).
4.6 Price changes. Subscription plans, features and prices may change from time to time. We will notify you at least 10 days before a price change affects your subscription. The new price applies from your next renewal after the notice period. If you do not agree, you may cancel before the renewal date.
4.7 Card on file and authorisation. By accepting these Terms, you authorise us and our payment service providers to charge your saved payment method for: (a) subscription and listing fees; and (b) where you are a Talent or Host, the payment processing, payout and bank fees incurred on money you earn through Projects, webinars or tutoring, where these fees cannot be deducted from the payout itself (see Section 6.6).
4.8 Taxes on our fees. Our fees are stated exclusive of VAT, GST, sales tax or similar taxes, which will be added where required by law.
5. Projects
5.1 Project types. Clients and Talents may agree three types of Project on the Platform:
| Type | How it is priced | When payment is released |
| Hourly Project | An agreed hourly rate multiplied by approved hours | After the hours are approved, subject to the payout timing in Section 6.5 |
| Fixed-Fee Project | A fixed amount for a defined deliverable | When the Client approves the deliverable, or as set out in Section 7.1 |
| Skill Challenge | A prize amount funded in full by the Client before the challenge opens | When the Client selects the winning entry |
5.2 The Project contract. The scope, deliverables, deadlines, price and any revision rounds agreed in the Project offer on the Platform form the contract between Client and Talent. Users may agree additional terms in writing, provided they do not conflict with these Terms.
5.3 No zero-budget work. Every Project in which a Client receives productive work must be funded through the Platform, with a minimum of USD 5.00 and maximum of USD 10 000.00 placed in Security Hold before work begins. Users must not use the Platform’s chat, file uploads, webinar or other tools to request, arrange or deliver unpaid work, “free samples” beyond a brief proposal, or work agreed outside the Platform’s checkout.
5.4 Certified Freelancer rate floor. Listings in the Certified Freelancer category are restricted to rates of at least USD 10.00 per hour or flat budgets of at least USD 150.00. Assignments with a lower budget must be posted as an Apprentice Project.
5.5 Apprentice Projects and the 3-month Freelance Apprenticeship. Apprentice Projects let learners gain real-world experience. There is no minimum total amount for a 3-month Freelance Apprenticeship track. Each Apprentice Project within it must still be funded into Security Hold under Section 5.3, with payments released against the agreed deliverables. To count toward certification, the Apprenticeship must reach total approved fees of at least USD 700 (Section 9.2). An Apprenticeship is a series of freelance Projects, not employment, an internship contract or a traineeship.
5.6 Autonomy of the Talent. For every Project, including Apprenticeships:
- the Client may set deliverables and deadlines, but must not require fixed working hours (for example, 9:00 to 17:00), attendance at a location, or exclusivity;
- the Talent decides how, when and where to do the work, using their own equipment;
- the Client must not use Security Hold payments to pay a regular wage or salary, or treat the Talent as an employee;
- the Client must not give the Talent employment-style instructions, performance reviews or disciplinary measures.
5.7 Client responsibilities. Clients must provide clear briefs, the materials the Talent needs, and timely feedback. Clients are responsible for checking that delivered work meets their needs before approving it.
5.8 Talent responsibilities. Talents must deliver original work that does not infringe anyone’s rights, as described in the Project offer and on time. Talents must not deliver plagiarised, recycled or AI-generated work presented as original where the Client has asked for human-created work, or deliver empty or incomplete files to avoid a deadline.
5.9 Payment limits. Each payment on the Platform must be at least USD 5 and may not exceed USD 10,000. The prize for a Skill Challenge must be at least USD 10. Clients and Talents may agree as many Projects and payments as they need, including several Fixed-Fee Projects for larger work. However, users must not split payments with the purpose of avoiding identity, tax or fraud checks required by us or our payment service providers.
6. Payments and the Security Hold
6.1 All payments through the Platform. All payments for Projects, webinars and tutoring arranged through the Platform must be made through the Platform’s checkout. Cash, private bank transfers, crypto-assets and any other off-platform payment methods are prohibited (see Section 10). If users nevertheless make or accept any payment outside the Platform, they do so entirely at their own risk. YOSCH MEDIA is not a party to, and has no responsibility or liability for, any off-platform payment, including non-payment, fraud, chargebacks, refunds, disputes, or any tax or reporting obligations arising from it. Such payments are not covered by the Security Hold, dispute or arbitration processes, and are not recorded in the earnings ledger or counted toward certification.
6.2 Payment service providers. Payments are processed by Stripe (through Stripe Connect), and payouts may be made through Stripe or Airwallex. By using payment features, you also agree to the terms of the relevant provider, including the Stripe Connected Account Agreement, available at https://stripe.com/legal/connect-account. We never receive or store card numbers, card details or bank account details. These are collected and held only by Stripe (and Airwallex for payouts). Card security (PCI-DSS) is handled by Stripe.
6.3 Security Hold, not escrow. When a Client funds a Project, webinar or tutoring session, the payment is held by our payment service provider in a Security Hold until it is released or refunded under these Terms. The Security Hold is a payment-timing feature only. It is not an escrow, trust, deposit or banking service, and we do not hold client money in our own name. Funds may remain in Security Hold for no longer than 60 days.
6.4 Identity and tax verification (KYC). Talents and Hosts must complete the identity, business and tax verification required by Stripe before receiving payouts. If verification is incomplete or Stripe restricts your account (for example, because your tax ID is missing), payouts will be paused and we will show a notice in your profile asking you to update your information. We are not responsible for delays caused by incomplete verification.
6.5 Payout timing. Once a payment is released from Security Hold, it becomes available for payout after the waiting period below. This protects users against fraud and chargebacks.
| Payment | Waiting period before payout |
| Paid with a trusted card and USD 150 or less | 3 days + 2 business days for processing |
| Paid with a card that is not trusted, or over USD 150 | 14 days + 2 business days for processing |
A “trusted card” is a card that has completed at least 3 successful payments on the Platform without a chargeback or dispute. Bank processing times outside our control may add further delay. We may extend a waiting period where we reasonably suspect fraud, a security risk or a breach of these Terms.
6.6 0% commission and who pays processing fees. We charge no commission on Projects, webinars or tutoring. Our only revenue is subscription fees and affiliate listing and renewal fees. Payments for services pass through the Platform to the Talent or Host in full, minus only the payment processing, currency conversion, payout and bank fees charged by our payment service providers. These fees are paid by the user providing the service (the Talent or Host). They are deducted from the payout or, where that is not possible, charged to the Talent’s or Host’s saved payment method under Section 4.7. Our fee schedule is set out in Schedule 1.
6.7 Currency. Prices are shown in USD. Where a payment or payout is made in another currency, the provider’s exchange rate and conversion fees apply.
6.8 No chargebacks. Clients agree to resolve payment disagreements through the dispute process in Section 7 rather than by a card chargeback or bank reversal. If a Client starts a chargeback, we may suspend the Client’s account. Any amount recovered by the card issuer, and all related chargeback fees, may be recovered from the user responsible. This does not limit any right you have by law that cannot be excluded.
6.9 Set-off. We may deduct from any amount payable to you any sum you owe us under these Terms, including unpaid fees and chargeback costs.
7. Ending a Project, disputes and arbitration
7.1 Client ends the contract. If a Client ends a Project while funds are in Security Hold, all funds in Security Hold for that Project are released to the Talent. No dispute can be raised on those funds. Clients should therefore only fund the amount agreed for the current deliverable or period.
7.2 Talent ends the contract. If a Talent ends a Project before delivering the funded work, the funds in Security Hold for the undelivered work are refunded to the Client. Processing fees already incurred are borne by the Talent.
7.3 Mutual cancellation. Client and Talent may agree through the Platform to cancel a Project and split the funds in Security Hold in any proportion. That agreement is final.
7.4 Internal dispute. Where a Project has not been ended, either party may open a dispute through the Platform before funds are released from Security Hold. Examples include a Client rejecting a deliverable or hours, or a Client not responding to a delivery. Both parties must take part in good faith and provide the evidence we request within 3 days. We may help the parties communicate and propose a solution. However, we are not an arbitrator, court or mediator, and our view is not binding unless both parties accept it or neither party starts arbitration within the deadline in Section 7.5.
7.5 Third-party arbitration. If the internal dispute does not resolve the matter, either party may refer it to arbitration. The Client and the Talent may agree on any independent online arbitration provider. If they have not agreed within 5 days of either party proposing arbitration, the dispute will be decided by net-ARB under its Written Submission rules or, if net-ARB is unavailable, by another independent online arbitration provider nominated by Yosch Media. There will be a sole arbitrator, and the case will be decided on written submissions unless the arbitrator decides otherwise. The seat of the arbitration is England, and the Arbitration Act 1996 applies. A party that refuses to agree to or take part in the arbitration is treated as not having paid the arbitration fees under point 3 below. The following rules apply:
- Deadline to start. The referral, and payment of the arbitration fees by both parties, must take place within 30 days of the internal dispute closing. If the funds have already been in Security Hold for more than 30 days, this deadline is shortened to 15 days. Funds can stay in Security Hold for no more than 60 days in total.
- Fees. The Client and the Talent pay the arbitration fees themselves, as set by the arbitration provider. We do not pay any arbitration fees.
- If one party does not take part. If one party agrees to arbitration and pays its share of the fees, and the other party refuses arbitration or does not pay within the deadline, the disputed funds are released to the party who paid.
- If neither party starts arbitration within the deadline, the disputed funds are released in line with the solution we proposed during the internal dispute. If we did not propose a solution, the funds are refunded to the Client.
- Decision. The arbitrator’s decision is final and binding on the Client and the Talent. We will release the funds in Security Hold in line with the decision, provided it is issued before the 60-day limit. If it is issued later, the parties must settle the decision directly between themselves.
- We are not a party. The arbitration is between the Client and the Talent only. Yosch Media is not a party and has no liability for the outcome.
7.6 Disputes over released funds. Once funds have been released from Security Hold, any further claim is a matter solely between the Client and the Talent. We may help with information from the Project record on request.
8. Webinars and tutoring
8.1 Hosts are independent. All tutors and webinar hosts on the Platform are independent third parties. They are not employees, partners, agents or joint-venture partners of YOSCH MEDIA. The contract for a webinar or tutoring session is between the Host and the participant.
8.2 Host no-show. If a Host does not attend a scheduled session, the participant receives a full refund. The Host bears all costs, including payment processing fees.
8.3 Cancellation by the participant 24 hours or more before the start. The participant receives a full refund. The Host bears all costs, including payment processing fees.
8.4 Cancellation less than 24 hours before the start, or participant no-show. The Host decides whether to give a full, partial or no refund. Any refund the Host chooses to give is made through the Platform.
8.5 Cancellation by the Host. If a Host cancels a session at any time, the participant receives a full refund and the Host bears all costs.
8.6 Recording and conduct. Hosts must tell participants in advance if a session will be recorded. Participants must not record sessions without the Host’s consent. Hosts and participants must follow the acceptable use rules in Section 12. A supervised minor may take part in a live session only with the account-holding adult present (Section 3.3).
8.7 Content. Hosts are solely responsible for the accuracy and legality of their teaching materials and for holding the rights to any third-party material they use.
9. Platform skills certification
9.1 What the certificate is. We may issue an Ecosystem Skills Certification (for example, “Certified AI Automation Specialist”) to Talents who meet our published requirements. The certificate is issued by YOSCH MEDIA only. It confirms that the Talent passed the Platform’s assessment and completed paid client work on the Platform. It is not an employment reference, a reference from any Client, or an academic or professional qualification.
9.2 Requirements. Unless a specific programme states otherwise, a Talent qualifies when they have:
- completed a 3-month Freelance Apprenticeship with total approved fees of at least USD 700; or completed at least 9 approved Apprentice Projects with total approved fees of at least USD 700; and
- passed the Platform’s assessment and completed the final capstone webinar. For the capstone webinar, the Talent must create and host, through the Platform, a free educational webinar related to the course topic, with a minimum of 30 attendees. Attendees must be genuine, separate users. Attendance from duplicate, fake or connected accounts does not count, and we may verify attendance before issuing a certificate.
9.3 Only on-platform work counts. Only Projects funded and completed through the Platform’s checkout are recorded in the Talent’s earnings ledger. Work arranged or paid outside the Platform, and zero-budget work, never counts toward any certification requirement.
9.4 No guarantee. A certificate does not guarantee any Talent’s skills, quality of work or trustworthiness, or any future work or income. We may withdraw a certificate obtained through fraud, fake Projects, self-dealing or a breach of these Terms.
10. Off-platform payments and hiring as an employee
10.1 Contact details. You may exchange contact details (such as email addresses, project links or files) to make collaboration easier. Any assignment negotiated or carried out outside the Platform’s infrastructure is completely unprotected. It is not covered by the Security Hold, dispute process or arbitration rules, and it is not recorded in the earnings ledger or counted toward certification.
10.2 No circumvention of payments. For 12 months after a Client and Talent first connect through the Platform, all freelance work between them must be agreed and paid through the Platform’s checkout. You must not:
- ask for or make payment in cash, by private bank transfer or through any other payment system for work arranged through the Platform;
- move an existing Project off the Platform to avoid the payment system, verification or reporting; or
- use the Platform’s chat, file uploads or webinar tools to arrange unpaid or zero-budget work.
This rule exists because we are legally required to record and, where applicable, report payments made through the Platform to tax authorities (Section 11).
10.3 Hiring a Talent as an employee. The Platform is for freelance work only. If a Client wants to offer a Talent genuine employment (a contract of employment on payroll), the Client may do so outside the Platform. This is not a breach of Section 10.2. From that point, the employment relationship is entirely outside the Platform. The Client is solely responsible for complying with employment, wage, tax and immigration law. YOSCH MEDIA is not an employment agency and charges no placement or introduction fee.
10.4 Monitoring. To enforce this Section and keep users safe, our systems may automatically scan messages on the Platform for contact details, payment requests and zero-budget arrangements, and may show in-app notices (see our Privacy Policy).
10.5 Consequences. If you breach this Section, we may warn you, restrict messaging, remove listings, withhold certification, or suspend or close your account.
11. Taxes and platform reporting
11.1 You are responsible for your own taxes. Talents and Hosts act as independent contractors, whether they are individuals or registered businesses. Users are entirely and solely responsible for calculating, filing and paying their own income tax, sales tax, VAT, GST and social security contributions, and for registering for tax where required. The Platform provides no tax advice and has no withholding obligations unless the law expressly requires otherwise. We are not liable for any user’s failure to report earnings to tax authorities.
11.2 Platform reporting. In some Supported Countries, digital platform operators must collect and report information about sellers who earn money through the platform. Examples include the OECD Model Reporting Rules as adopted in the UK, Canada and New Zealand, Australia’s Sharing Economy Reporting Regime, and US information reporting such as Form 1099-K. Reporting thresholds vary by country; some apply from the first transaction. Where these rules apply, we, or our payment service provider on our behalf, will collect and report information such as your name, address, date of birth, tax identification number, bank account details and the gross amounts paid to you.
11.3 Reporting is not tax liability. In complying with platform reporting rules, YOSCH MEDIA acts solely as a reporting intermediary. Collecting and transmitting tax identification information to government authorities does not mean we endorse, calculate or assume any tax liability of a user.
11.4 Pass-through funds. Money paid for Projects, webinars and tutoring passes through the Platform to the Talent or Host and is not revenue of YOSCH MEDIA. Our commission on these payments is 0%. Our revenue consists only of subscription fees and affiliate listing and renewal fees (Section 6.6).
11.5 Your tax information. You must provide accurate tax information when asked and keep it up to date. If you do not, we may pause payouts or close your account where the law requires us to.
12. Intellectual property, reviews, affiliate listings and acceptable use
Intellectual property in work
12.1 Before payment. The Talent keeps all intellectual property rights in any work, draft or deliverable until the Client has paid for it in full and the payment has been released from Security Hold. Until then, the Client may review the work only to decide whether to approve it.
12.2 After payment. Unless the Project offer states otherwise, when payment for a deliverable is released to the Talent, the Talent assigns to the Client all intellectual property rights in that deliverable. To the extent permitted by law, the Talent also waives any moral rights in it. Talents remain free to use general skills and know-how, and pre-existing materials or third-party materials they disclosed in the Project offer, which are licensed rather than assigned.
12.3 Skill Challenges. All intellectual property rights in losing or non-winning entries remain 100% with the Talents who created them. The Client acquires rights only in the winning entry, once the prize is released. The Client must not use, copy or adapt any non-winning entry without a separate paid agreement through the Platform.
12.4 Refunded or cancelled work. If a Project is cancelled or refunded, the Client acquires no rights in the work for the refunded portion and must not use it.
12.5 Portfolio use. Unless the Client asks for confidentiality in the Project offer, the Talent may show completed work in their portfolio.
12.6 Our content. The Platform, its software, design, logos, certification names and our content belong to us or our licensors. You may use them only as needed to use the Platform.
12.7 Licence to us. You keep ownership of the content you post (profiles, listings, messages, entries, reviews). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce and adapt it, solely to operate, improve and promote the Platform. This licence ends when you delete the content or your account, except for copies we must keep by law or for dispute and fraud records.
12.8 Infringement notices. If you believe content on the Platform infringes your rights, send a notice following the procedure in Schedule 4. We will review it and may remove the content.
Reviews
12.9 Who can review. Only users who completed a paid Project, webinar or tutoring session through the Platform may review the other party for that transaction.
12.10 Review rules. Reviews must be honest, based on your own genuine experience, and relevant to the transaction. You must not:
- write fake reviews, or review yourself or a business you are connected to;
- offer or accept payment, discounts or any other incentive for a review, or for changing or removing one;
- threaten a negative review to obtain extra work, a refund or other benefit;
- post content that is defamatory, abusive, discriminatory, or that reveals personal data.
12.11 Moderation. We do not edit reviews. We may remove a review that breaks these rules, a law or a court order. We do not remove reviews just because they are negative. Reviews reflect the opinion of the reviewer, not of YOSCH MEDIA.
Affiliate section
12.12 Advertising venue only. The affiliate section shows profiles and offers created by Affiliate Businesses, which pay a listing fee that renews every 30 days. Affiliate program terms, tracking and payouts are managed entirely by the third-party business. YOSCH MEDIA is an advertising venue only and does not track, guarantee or process any commission earnings. The commission percentages shown on a listing are provided by the Affiliate Business, which is responsible for their accuracy.
12.13 External links. The Platform contains advertisements and business profiles with external links. Clicking these links redirects you to third-party websites. Before you leave the Platform, we show a notice that you are leaving. Any tracking cookies, data collection or affiliate attribution technologies used beyond that point are governed solely by the relevant business’s privacy policy and terms. We do not access, store or process any transaction or tracking data related to those external programs.
12.14 Affiliate Business obligations. Affiliate Businesses must ensure their listings are accurate and lawful, include any disclosures required by advertising law, and do not promote prohibited products. We may remove listings that break these rules without refund.
Acceptable use
12.15 You must not use the Platform to:
- break any law or regulation, including sanctions, consumer, employment, tax, data protection and advertising laws;
- post false, misleading, defamatory, hateful, discriminatory, sexually explicit, violent or otherwise harmful content;
- harass, threaten, exploit or discriminate against any person;
- infringe anyone’s intellectual property, privacy or other rights;
- commit fraud, money laundering or payment manipulation, including fake Projects or self-dealing to inflate earnings or certifications;
- upload malware, scrape the Platform, bypass security, or attack our systems;
- offer services that require a licence you do not hold, or that are illegal where provided or received;
- arrange unpaid work or circumvent payments (Section 10).
13. Liability, suspension and general terms
13.1 Platform provided “as is”. The Platform is provided “as is” and “as available”. To the extent permitted by law, we exclude all warranties, express or implied, including fitness for a particular purpose. We do not guarantee that the Platform will be uninterrupted, secure or error-free, or that any user will find work, clients or income.
13.2 Exclusions. To the extent permitted by law, we are not liable for:
- the acts, omissions, work, content or conduct of any user, Host or Affiliate Business;
- any loss of profits, revenue, business, contracts, data, goodwill or anticipated savings, or any indirect or consequential loss;
- losses caused by third-party services we rely on, including payment, hosting, email and network providers, or by events beyond our reasonable control.
13.3 Liability cap. To the extent permitted by law, our total liability to you for all claims relating to the Platform in any 12-month period is limited to the greater of (a) the subscription and listing fees you paid us in that period, and (b) USD 100. Funds in Security Hold are not our fees and do not count toward this cap.
13.4 What we do not exclude. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited by law. If you are a consumer, you keep the mandatory rights given by the law of your country of residence, for example under the Australian Consumer Law or the UK Consumer Rights Act 2015.
13.5 Indemnity. You will indemnify us against any claims, losses, fines, taxes and reasonable legal costs arising from your breach of these Terms, your work or services, your content, your dealings with other users, or your breach of any law. Where an adult allows a supervised minor to use their account, the adult indemnifies us for the minor’s activity as well.
13.6 Suspension and termination. We may warn you, remove content, restrict features, pause payouts, or suspend or close your account if we reasonably believe you have breached these Terms or the law, if required by our payment service providers or a public authority, or to protect users. Where reasonable, we will tell you why and give you a chance to respond. Funds in Security Hold at closure are handled under Sections 7 and 6. You may close your account at any time in Subscription settings.
13.7 Governing law and courts. These Terms and any dispute between you and YOSCH MEDIA are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to the rights of consumers set out below. If you are a consumer, you may also bring proceedings in your country of residence, and nothing here removes mandatory consumer protections that apply to you. Disputes between users are governed by Section 7.
13.8 Notices. We may send notices to the email address on your account or in-app. You can contact us through our online contact form at https://yoschmedia.com/contact/ or by post at 71-75 Shelton Street Covent Garden London WC2H 9JQ UNITED KINGDOM.
13.9 General. If any provision of these Terms is found unenforceable, the rest remains in force. A failure to enforce a right is not a waiver. You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, acquisition or sale of assets. These Terms are the entire agreement between you and us about the Platform. If these Terms are translated, the English version prevails.

Schedules
The following Schedules form part of these Terms. By accepting these Terms you also accept the Schedules. Where a Schedule summarises a rule set out elsewhere in these Terms, the main Terms prevail if there is any conflict.
Schedule 1 – Fees and payments
Our fees
There are three subscription plans, each with a separate price for Clients and for Talents. Only Client accounts can publish affiliate listings, and the listing price depends on the Client’s subscription plan.
| Plan | Client price | Talent price | Affiliate listing, Clients only (per 30 days) |
| Silver | $19 per month | $19 per month | $10 |
| Gold | $49 per month | $49 per month | $5 |

| Item | Fee | Who pays |
| Free trial | Available for the Silver plan only. Free for 7 days, then the Silver subscription fee applies unless cancelled | Subscriber |
| Affiliate listing renewal | Listings do not renew automatically. To keep a listing live after 30 days, the Client must renew it manually and pay the listing price for their current plan | Affiliate Business |
| Commission on Projects, webinars and tutoring | 0% | No one |
If you change plan, the new plan’s subscription price applies from your next billing date, and the new affiliate listing price applies the next time a listing is published or manually renewed.

| Card and payment processing | As charged by Stripe for the payment method and country | Talent or Host |

We will give at least 10 days’ notice before any change to our own fees takes effect (Section 4.6). Third-party fees may change when our payment service providers change them.
Schedule 2 – Refunds and cancellations
This Schedule summarises the refund and cancellation rules in these Terms.
| Situation | What happens | Section |
| You cancel a subscription | Cancellation takes effect at the end of the current billing period. No refund for the current or partial period | 4.3, 4.5 |

| Client ends a Project | All funds in Security Hold for that Project are released to the Talent. No dispute possible | 7.1 |
| Talent ends a Project | Funds for undelivered work are refunded to the Client. Processing fees are borne by the Talent | 7.2 |
| Client and Talent agree to cancel | Funds are split as agreed | 7.3 |
| Disagreement about a Project | Internal dispute, then third-party arbitration | 7.4, 7.5 |
| Host does not attend a webinar or tutoring session | Full refund to the participant. The Host bears all costs | 8.2 |
| Host cancels a session | Full refund to the participant. The Host bears all costs | 8.5 |
| Participant cancels 24 hours or more before the start | Full refund. The Host bears all costs | 8.3 |
| Participant cancels less than 24 hours before, or does not attend | The Host decides whether to refund | 8.4 |
Refunds are returned to the original payment method. Banks usually take 7 to 14 business days to show the refund. Nothing in this Schedule removes any refund or cancellation right you have by law that cannot be excluded.
Schedule 3 – Community guidelines and enforcement
Our standards. Everyone on the Platform must:
- treat other users with respect, and never harass, threaten or discriminate against anyone;
- be honest about who they are, their skills, their work and their prices;
- deliver what was agreed, on time, and communicate promptly;
- keep all Projects, payments and reviews on the Platform (Sections 6.1 and 10);
- protect other people’s personal data and never share it outside the Platform without permission;
- keep supervised minors safe and never contact a minor directly (Section 3).
Not allowed. In addition to the acceptable use rules in Section 12.15, users must not:
- post spam, misleading profiles, fake portfolios or fake listings;
- use automated tools, bots or AI agents to send mass messages or proposals;
- ask for or offer unpaid “test work” beyond a short proposal;
- post reviews that break Sections 12.9 to 12.11;
- create a new account after being suspended or closed.
How we enforce these rules. Depending on how serious and how frequent a breach is, we may take one or more of these steps:
| Step | What happens |
| Warning | We tell you what rule was broken and ask you to stop |
| Content removal | We remove the listing, message, file or review concerned |
| Restriction | We limit features such as messaging, new Projects or payouts for a period |
| Suspension | We temporarily block access to your account while we investigate |
| Closure | We permanently close your account |
For serious breaches, such as fraud, threats, exploitation of minors, illegal content or payment circumvention, we may suspend or close an account immediately without a prior warning.
Reasons and appeals. When we restrict, suspend or close an account, we will tell you the reason unless the law or a security risk prevents us. You can appeal within 14 days through our online contact form. A person who was not involved in the original decision will review your appeal.
Reporting. You can report a user, listing, message or review through the report button where available, or through our online contact form.
Schedule 4 – Copyright and intellectual property complaints
We respect intellectual property rights and expect our users to do the same. This Schedule explains how to report content that infringes your rights. It applies to everyone, including people who are not users of the Platform.
1. Sending a notice. Send your notice through our online contact form, choosing “IP complaint” as the topic. Your notice must include:
- your name, address, telephone number and email address;
- a description of the copyright work, trade mark or other right you believe has been infringed;
- the exact location of the content on the Platform (for example, the page URL);
- a statement that you believe in good faith that the use is not authorised by the rights owner, its agent or the law;
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are the rights owner or authorised to act on the owner’s behalf;
- your physical or electronic signature.
2. What we do. If the notice is complete, we will remove or disable access to the content, tell the user who posted it, and send them a copy of the notice with personal contact details removed where appropriate.
3. Counter-notice. If you believe your content was removed by mistake, you may send a counter-notice through the same contact form. It must include:
- your name, address, telephone number and email address;
- a description of the content removed and where it appeared;
- a statement, under penalty of perjury, that you believe in good faith the content was removed by mistake or misidentification;
- a statement that you consent to the jurisdiction of the courts where you live (or, if you live outside the United States, any judicial district in which we may be found) and will accept service from the person who sent the original notice;
- your physical or electronic signature.
We will send the counter-notice to the person who sent the original notice. Unless they tell us within 10 business days that they have started court proceedings, we may restore the content within 10 to 14 business days.
4. Repeat infringers. We will close the accounts of users who repeatedly infringe the rights of others.
5. False notices. Anyone who knowingly makes a false statement in a notice or counter-notice may be liable for damages, including legal costs.
Schedule 5 – Affiliate Business terms
This Schedule applies to businesses that publish listings in the Platform’s affiliate section (“Affiliate Businesses”). Only users with a Client account can publish affiliate listings. Affiliate Businesses accept this Schedule as part of these Terms when they sign up. A link to this Schedule is also shown on the page where listings are published, and by publishing a listing the Affiliate Business confirms that the listing complies with it.
1. Our role. YOSCH MEDIA is an advertising venue only. We display your business profile and offer, and show users a notice before they leave the Platform through your link. We do not track, guarantee or process any commission, sale or payout. Your affiliate programme, its terms, tracking and payouts are entirely your responsibility.
2. Listing fee and renewal. Each listing costs the fee shown in Schedule 1 for a period of 30 days. Listings do not renew automatically. At the end of the 30 days the listing is taken down, unless you renew it manually and pay the listing fee for a further 30 days. If you remove a listing early, it is not refunded. Listing fees are not refundable.
3. Your listing must:
- be accurate, lawful and kept up to date, including the commission percentage shown to users;
- clearly state the main conditions of your programme (for example, eligibility, payment thresholds and cookie duration), or link to them;
- include any disclosures required by advertising law where users are located;
- link to your own privacy policy, which governs any data you collect once users leave the Platform;
- not target or be directed at anyone under 18.
4. Prohibited offers. You must not promote: gambling or betting; adult or sexual content; weapons; drugs or controlled substances; tobacco or vaping products; get-rich-quick, pyramid or multi-level marketing schemes; investment, crypto-asset or financial products that require a licence you do not hold; unproven health or medical claims; counterfeit goods; or anything illegal where users are located.
5. Review and removal. We may review, reject, pause or remove a listing at any time if it breaks this Schedule, these Terms or the law, or receives repeated user complaints. Where a listing is removed for a breach, the listing fee is not refunded.
6. Licence. You grant us a non-exclusive, royalty-free licence to display your business name, logo and listing content on the Platform for the duration of your listing.
7. Responsibility and indemnity. You are solely responsible for your programme, your payments to users and your compliance with law. You will indemnify us against any claims, losses or fines arising from your listing, your programme or your dealings with users. Our listing on the Platform is not an endorsement of your business.
Schedule 6 – Ranking, complaints and mediation
1. How profiles and listings are ranked. Search results and listings are ordered automatically using these main parameters, in roughly this order of importance:
- relevance to the search terms, category and skills selected;
- reviews and ratings from completed paid Projects;
- Project completion rate and response time;
- Platform certification status;
- profile completeness;
- recent activity on the Platform.
A Premium Account subscription does not affect ranking. No one can pay to improve their ranking in any other way. Affiliate listings appear only in the affiliate section and are never mixed into any other search results on the Platform.
2. Restrictions, suspension and closure. If we restrict, suspend or close the account of a Talent, Host or Affiliate Business, we will give a statement of reasons at the time, unless the law or a security risk prevents us. Except for serious breaches (Schedule 3), we will give at least 30 days’ notice before permanently closing such an account.
3. Internal complaints. Any user, whether an individual or a business, can complain free of charge through our online contact form, choosing “Complaint” as the topic, about: our compliance with these Terms; technical problems with the Platform; or any action we have taken that affects them. We will acknowledge each complaint within 7 business days and aim to give a decision within 30 days.
4. Mediation. If a complaint cannot be resolved through our internal process, we may agree with you to try mediation with an independent mediator. Mediation is voluntary for both sides, and the costs will be agreed before it starts. It does not affect any right to bring legal proceedings. – It can be the current but should be updated to the first once we reach a bigger amount (over $10M)
